These Terms and Conditions govern your access to and use of the ZLAQA platform and services.

1. Acceptance of Terms

These Terms and Conditions (the "Terms") govern your access to and use of the ZLAQA mobile application, web application, website, and related services (collectively, the "Platform"), operated by SLAQ AI Labs Private Limited, a company incorporated under the laws of India, with its registered office at TBI CUIET Thenjipalam, Calicut University, Malappuram, Kerala 673636, India ("ZLAQA," "we," "us," or "our").

By registering for, accessing, or using the Platform, you ("User," "you," or "your") agree to be bound by these Terms, which constitute a legally binding agreement under the Indian Contract Act, 1872. If you do not agree to these Terms, you must not use the Platform.

2. Eligibility

You must be at least 18 years of age to create an account. Users below 18 years of age may use the Platform only under the supervision and with the verifiable consent of a parent or lawful guardian, in accordance with the Digital Personal Data Protection Act, 2023. By using the Platform on behalf of a minor, the parent or guardian accepts these Terms in full.

3. Description of Service

ZLAQA is a speech intelligence and therapy support platform that provides: - AI-assisted speech and fluency analysis based on user-submitted voice recordings - A dashboard for speech-language pathologists (SLPs) and doctors to review patient progress - Connectivity between patients and registered doctors or SLPs through B2C and B2B (ZLAQA Voice Care) plans - Related tools, reports, and wearable device integration (Z-Mic / Talku), where applicable

ZLAQA is a technology platform and support tool. It does not replace professional medical diagnosis, and any AI-generated output is intended to assist, not substitute, the clinical judgment of a qualified speech-language pathologist or medical practitioner.

4. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. Notify us immediately at zlaqa.ai.labs@gmail.com of any unauthorised use of your account.

5. Subscription Plans and Payments

5.1 B2C Plans Individual users may subscribe to monthly or half-yearly plans as displayed on the Platform at the time of purchase. Prices are inclusive of applicable GST unless stated otherwise.

5.2 B2B: ZLAQA Voice Care Doctors and clinics may subscribe under the ZLAQA Voice Care plan. This plan operates on a dual revenue model: the doctor's existing consultation fee remains unaffected, and a subscription fee is billed separately to the doctor at the end of each billing cycle based on platform usage. Doctor profiles are made visible on the Platform to patients as part of this plan.

5.3 Billing and Refunds All payments are processed through third-party payment gateways. We do not store your full card or bank account details. Fees, once paid, are generally non-refundable except where required by applicable Indian consumer protection law or expressly stated in a specific offer. Any dispute regarding billing must be raised within 7 days of the transaction by writing to operation.zlaqa@gmail.com or support@zlaqa.com.

5.4 Changes to Pricing We may revise subscription pricing from time to time. Any change will apply prospectively from your next billing cycle, and we will provide reasonable prior notice.

6. User Content and Voice Recordings

You retain ownership of the voice recordings and other content you submit to the Platform ("User Content"). By submitting User Content, you grant ZLAQA a limited, non-exclusive, worldwide license to process, store, and analyse such content solely for the purpose of providing the service to you and your connected doctor or SLP, and, where you have provided separate consent, to improve our AI models on a de-identified basis.

You represent that you have the right to submit the User Content and that it does not infringe any third-party rights or violate applicable law.

7. Acceptable Use

You agree not to: - Use the Platform for any unlawful purpose or in violation of these Terms - Upload content that is defamatory, obscene, or infringes the rights of others - Attempt to reverse-engineer, decompile, or extract the source code of the Platform - Interfere with the security or proper functioning of the Platform - Misrepresent your identity or impersonate a doctor, SLP, or other user - Use automated means to scrape, harvest, or extract data from the Platform without authorisation

We reserve the right to suspend or terminate accounts that violate this section.

8. Role of Doctors and SLPs

Doctors and SLPs using the Platform are independent professionals responsible for their own clinical judgment, licensure, and compliance with applicable medical council regulations. ZLAQA does not employ, supervise, or control the clinical decisions of doctors or SLPs listed on the Platform, and is not a party to the doctor-patient relationship.

9. Intellectual Property

All content on the Platform, including the ZLAQA name, logo, brand elements, software, AI models, and design, is the exclusive property of SLAQ AI Labs Private Limited and is protected under applicable Indian intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

10. Disclaimer of Warranties

The Platform and its AI-generated outputs are provided on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or that AI-generated speech assessments will be free of inaccuracies. To the fullest extent permitted under Indian law, we disclaim all implied warranties, including fitness for a particular purpose.

11. Limitation of Liability

To the maximum extent permitted under applicable law, SLAQ AI Labs Private Limited shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Platform. Our aggregate liability for any claim arising under these Terms shall not exceed the amount paid by you for the service in the three months preceding the claim. Nothing in this section limits liability that cannot be excluded under Indian law.

12. Indemnification

You agree to indemnify and hold harmless SLAQ AI Labs Private Limited, its officers, employees, and affiliates from any claims, damages, or expenses arising out of your breach of these Terms, your misuse of the Platform, or your violation of any applicable law or third-party right.

13. Termination

We may suspend or terminate your access to the Platform, with or without notice, if you breach these Terms or engage in conduct we reasonably believe is harmful to the Platform, other users, or ZLAQA. You may terminate your account at any time by writing to zlaqa.ai.labs@gmail.com. Upon termination, your right to use the Platform ceases immediately, though provisions relating to intellectual property, limitation of liability, and dispute resolution shall survive.

14. Grievance Redressal

In accordance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, grievances regarding the Platform may be addressed to our Grievance Officer.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to Section 16 below, the courts at Kozhikode or Malappuram, Kerala shall have exclusive jurisdiction over any disputes arising under these Terms.

16. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated at Kozhikode, Kerala, conducted in English, before a sole arbitrator mutually appointed by the parties.

17. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes through the Platform or by email. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SLAQ AI Labs Private Limited regarding your use of the Platform, and supersede any prior agreements or understandings.
